Francisco Partners agreed to acquire [Weave Communications](https://investors.getweave.com/news/news-details/2026/Weave-Announces-Acquisition-by-Francisco-Partners/default.aspx?ref=theinvestorsociety.com), the Lehi, Utah-based patient engagement and payments platform for healthcare practices, in an all-cash deal valuing the company at roughly $650M. Weave shareholders will receive $7.40 per share, a 34% premium to Tuesday's close, and the company will delist from the NYSE once the deal closes in Q4 2026.

**Why This?:** It's the day's largest take-private and a clean read on where PE appetite sits right now — healthcare software with recurring revenue and a founder willing to trade public-market scrutiny for capital to build out AI and payments features.

**Positive Context:**

- Weave serves more than 40,000 healthcare practice locations, giving Francisco Partners a defensible base to layer in AI-powered patient engagement and revenue-cycle-management tools without having to win new logos first.
- The 34% premium signals the board saw more value in going private now than waiting for the public market to re-rate the stock, a pattern showing up across small-cap healthcare software this year.

**Yes, but:**

- Take-privates in this size range routinely draw shareholder litigation over deal price; expect at least one law firm "investigation" press release within days.
- The deal still needs shareholder and regulatory sign-off before it closes in Q4 2026, leaving several months where a competing bidder — or a market downturn — could complicate things.
