Guidewire, the California-based software company that runs core systems for property and casualty insurers, agreed to acquire London-based hyperexponential (hx) for US$1.7 billion in cash. The deal includes up to US$400 million more if hx hits specific recurring revenue targets, bringing its potential value to about US$2.1 billion. Guidewire CEO Mike Rosenbaum announced the agreement on October 27, 2026, at the company's Connections conference in Las Vegas. Guidewire will pay with US$1 billion in new term loans from Bank of America and Citibank plus cash on hand, and expects to close in the second quarter of its fiscal 2027, which ends January 31, 2027.

Founded in 2017 and led by CEO and co-founder Amrit Santhirasenan, hx builds software that helps commercial insurers decide which risks to take and at what price. Its platform handles submission triage, risk assessment, pricing, rating and portfolio management, and has been used in underwriting decisions covering more than US$75 billion in annual premiums. Customers include Aviva, Allianz, Sompo, Beazley, Markel, HDI and Cincinnati Financial. The startup had raised nearly US$90 million from investors including Andreessen Horowitz and Battery Ventures, according to PitchBook. Guidewire says the goal is to let AI agents work alongside underwriters to assess, price and decide on risk.

## Market Context

Guidewire already sells its software to more than 570 insurers in 44 countries and ended fiscal 2026 with about US$1.24 billion in annual recurring revenue (ARR), according to TIKR. The company expects hx to add at least 6.5 percentage points to its ARR growth in fiscal 2027 and at least 1.5 points a year to organic growth from fiscal 2028\. Guidewire did not disclose hx's revenue, but TIKR estimates the price at roughly 21 times hx's projected ARR, rising to about 26 times if the full earnout is paid.

Investors reacted with caution. Guidewire shares fell about 6.6% on the day of the announcement, and the deal will leave the company with around US$500 million in cash and roughly US$1.7 billion in total debt, according to TIKR. The two companies already worked together: hx was part of Guidewire's technology partner program before the deal.

## Regional Relevance

For the United States, the deal shows that established software vendors are choosing to buy AI capabilities rather than wait to build them. Guidewire is one of the most widely used platforms in U.S. property and casualty insurance, so adding AI pricing tools could change how quickly American commercial insurers, including hx clients such as Markel and Cincinnati Financial, adopt AI in underwriting. It is also a large cash exit for two U.S. venture firms, Andreessen Horowitz and Battery Ventures.

For the United Kingdom, hx is one of the larger exits for a London insurtech. The company grew up close to the Lloyd's and specialty insurance market, where underwriters price complex risks such as marine, energy and cyber, and counts London-based insurers Beazley and Aviva among its clients. The sale adds to a pattern of promising UK tech companies being bought by U.S. groups once they reach scale.

## The Other Side

**Is US$1.7 billion a fair price?** Neither company disclosed hx's revenue. The market's 6.6% drop and analyst estimates of a 21x to 26x revenue multiple suggest investors see the price as steep. The first real test comes on Guidewire's December earnings call, when it updates its fiscal 2027 guidance.

**Will insurers that don't use Guidewire stay with hx?** Some hx clients may run core systems from Guidewire's competitors. The announcement does not say whether hx will stay open to those platforms, and customers may worry about depending on a rival's vendor for pricing decisions.

**Who is accountable when an AI agent misprices a risk?** Underwriting errors show up as losses months or years later. Guidewire cites research suggesting AI can lower loss ratios, but the announcement does not explain how human underwriters will review agent decisions or how regulators will view them.
