Hi, and welcome to a new edition of [The Daily Dealflow](https://www.theinvestorsociety.com/tag/the-daily-dealflow/) — the 5-minute briefing that gives you clear context on capital flows and market-moving trends across the Americas, from Silicon Valley to Buenos Aires. Let's dive in.

## 🏆 Deal of the Day

Nvidia confirmed it will acquire Hugging Face, the open-source repository that's become the default home for AI models and datasets, for $12.93 billion plus a $1 billion retention fund for key employees. CEO Jensen Huang and Hugging Face co-founder and CEO Clément Delangue announced the deal on September 3, after weeks of reported talks – [TechCrunch](https://techcrunch.com/2026/09/03/nvidia-confirms-it-will-buy-hugging-face-for-12-9-billion/?ref=theinvestorsociety.com).

**Why This?:** It's the clearest sign yet that owning AI infrastructure has shifted from chips alone to owning the software layer where every developer in the world already lives — and it puts a hard dollar figure on how much that distribution is worth.

**Positive Context:**

- Hugging Face hosts roughly 3 million open-source models and 1 million applications, and serves 18 million developers and 200,000+ enterprise clients — a stunning jump from just 13,590 models listed on the platform in 2021.
- The company was nearing profitability on an estimated $150M in annualized revenue, meaning Nvidia isn't just buying a community, it's buying a business that was already working.

**Yes, but:**

- Nvidia already dominates the AI chip market; folding the platform where most developers discover and deploy models into the same company invites antitrust scrutiny it can't fully dodge with promises of neutrality.
- Hugging Face's whole brand is built on being everyone's neutral ground — AMD's, Google's and Amazon's chips included — and that trust is now owned by their biggest rival.

**Zoom in:** Hugging Face's last outside valuation, a $4.5B mark set in a 2023 round led by Salesforce Ventures, means Nvidia is paying nearly 3x that figure just three years later — for a company some had assumed was too central to the AI ecosystem to ever be bought by one player in it.

**The comment:* *"Hugging Face will remain an open platform for the entire AI ecosystem... Nvidia compute will not be required,"* said Jensen Huang, per* [*TechCrunch*](https://techcrunch.com/2026/09/03/nvidia-confirms-it-will-buy-hugging-face-for-12-9-billion/?ref=theinvestorsociety.com)*.*

[**Physical Superintelligence**](https://www.theinvestorsociety.com/physical-superintelligence-launches-with-us-58-million-to-put-virtual-physicists-to-work-on-data-center-efficiency/) **(US)** – US$58M, Seed round, an AI-native physics lab using “virtual physicists” to optimize power, cooling, and computing in data centers. Founded by Matt Pines, Alex Klokus, and Alexander Wissner-Gross; led by Breakthrough Energy Ventures. It is also pursuing the very casual goal of reaching Alpha Centauri—conceptually, at least – The Investor Society.

[**HiddenLayer**](https://www.theinvestorsociety.com/hiddenlayer-raises-us-100-million-to-secure-the-ai-agents-enterprises-are-now-putting-into-production/) **(US)** – US$100M, Series B, an AI security platform protecting models and agents from threats such as prompt injection and unsafe tool use. Led by Delta-v Capital, with M12, Morgan Stanley, Ten Eleven Ventures, and Booz Allen Ventures; co-founder Chris Sestito leads the company – The Investor Society.

[**Bull**](https://www.theinvestorsociety.com/bull-raises-us-3-9-million-to-let-brazilian-companies-launch-their-own-credit-products-without-building-a-bank/) **(Brazil)** – US$3.9M, Seed round, a credit-as-a-service platform enabling retailers, fintechs, and employers to launch lending products without becoming banks. **Plenti (Colombia)** – $3M, Seed, multicurrency fintech that lets remote workers and freelancers hold dollar, euro and Colombian peso balances while investing in digital assets, in a round backed by stablecoin issuer Tether alongside Verda Ventures. Based in Medellín, the company has moved more than 680 million USDT through its platform since 2023 and serves over 150,000 users processing $3.1B in annual transaction volume — proof that stablecoin rails are quietly becoming plumbing rather than a novelty for LatAm freelancers getting paid in dollars – [Tech Startups](https://techstartups.com/2026/09/03/startup-funding-news-today-september-3-2026-backbone-plenti-rightcharge-outlier-space-zeit-ai-more/?ref=theinvestorsociety.com).

**Thinking Machines (US)** – $1B, growth round (reportedly in talks, not yet closed), at a $40B valuation down from a previously sought $50B, the Mira Murati-founded AI lab is reportedly negotiating with Accel to lead the round, joining existing backers Andreessen Horowitz, Nvidia and Lightspeed. The company, whose "Tinker" platform charges usage-based fees for adapting AI models on proprietary data, has an annual revenue run rate north of $100M — a striking multiple for a startup that's barely two years removed from its founding by OpenAI's former CTO – [TechCrunch](https://techcrunch.com/2026/09/03/accel-reportedly-in-talks-to-lead-1b-round-for-thinking-machines-at-40b-valuation/?ref=theinvestorsociety.com).

**PatientIQ (US)** – $30M, Series C, EHR-integrated platform that automates the collection and analysis of patient-reported outcomes across more than 20 medical specialties, in a round led by Hughes & Company with Health Enterprise Partners and August Capital also joining. Run by CEO Matthew Gitelis, the Chicago-based company integrates with over 50 electronic health record systems, including Epic and Oracle Cerner, and plans to use the funds to launch a direct-to-patient marketplace connecting patients with products and services – [FinSMEs](https://www.finsmes.com/2026/09/patientiq-raises-30m-in-series-c-funding.html?ref=theinvestorsociety.com).

As of 2024, 13.7 out of every 100,000 people die by suicide. The suicide rate has increased by 24.5% over the last 20 years but most recently decreased 2.8% between 2023 and 2024\. Suicide rates vary by age and gender. Overall, death by suicide is almost 4x more common in males than females — older male adults have the highest suicide rate. Despite American Indian or Alaska Native people comprising less than 1% of the nation’s population, their suicide rate is nearly double the total national rate. Source: USA Facts.

## 🏛️ Private Equity

**GeoPark (Colombia/Venezuela, NYSE: GPRK)** – roughly $615M combined value ($514.8M in new shares plus a $100M tender offer), control transaction, Colombia's Gilinski Group takes a controlling stake of up to 58.4% in the Bogotá-based oil producer, receiving 42.1 million new shares at $12.22 apiece in exchange for a Venezuelan production deal while launching a separate $100M tender offer to minority shareholders at a 26% premium, as part of a transaction that hands GeoPark a 25-year production-sharing contract to reactivate Venezuela's long-dormant Bare oil block. The block holds an estimated 15.7 billion barrels of oil in place, and GeoPark — led by CEO Felipe Bayón — expects to ramp daily output there from 11,000 barrels currently to as much as 95,000 – [Portafolio](https://www.portafolio.co/negocios/empresas/se-concreta-el-negocio-de-gilinski-en-venezuela-toma-el-control-de-geopark-tras-acuerdo-por-bloque-petrolero-501720?ref=theinvestorsociety.com).

**Console (US)** – $500M, acquisition, Palo Alto Networks bought the AI-powered IT help desk platform that lets security teams resolve password resets, access requests and troubleshooting tickets using natural language, in a cash-and-stock deal. Console, founded in 2024, was valued at just $157M before the sale — a payday for early backer Thrive Capital, which had led its $6.2M seed round, and for Palo Alto Networks CEO Nikesh Arora, who'd personally angel-invested in the startup before his own company bought it – [TechCrunch](https://techcrunch.com/2026/09/02/palo-alto-networks-paid-500m-for-thrive-backed-console-sources-say/?ref=theinvestorsociety.com).

**Motiva's airport concessions (Brazil/Ecuador/Costa Rica/Curaçao)** – $992M, acquisition, Mexican airport operator ASUR closed its purchase of Motiva's stakes in 20 airports spread across four countries, marking ASUR's entry into Brazil, Latin America's largest aviation market. The deal was financed entirely through a loan arranged at the time of the original offer, and the acquired airports represented roughly 66% of ASUR's total passenger traffic in 2025 — meaning ASUR essentially just bought most of its own growth story on credit – [El Financiero](https://www.elfinanciero.com.mx/empresas/2026/09/02/asur-cierra-compra-de-20-aeropuertos-en-brasil-ecuador-costa-rica-y-curazao-por-992-mdd/?ref=theinvestorsociety.com).

**Transact Bank (US)** – $155M raised plus a planned acquisition, TabaPay closed a strategic growth financing led by FTV Capital and simultaneously announced plans to buy the Denver-based bank, aiming to rebrand it "TabaBank" pending Federal Reserve and OCC approval. TabaPay already processes more than $100B in payments annually as the fifth-largest card-not-present processor in the US, and the bank purchase would let it plug directly into FedNow and ACH rails instead of routing through partner banks — a lesson learned after a 2024 attempt to buy failed fintech Synapse's assets fell apart – [Payments Dive](https://www.paymentsdive.com/news/tabapay-to-buy-transact-bank-ftv-capital-155-million-investment-occ-charter/829487/?ref=theinvestorsociety.com).

**Lovelytics (US)** – roughly $525M, acquisition, IT solutions giant CDW bought the Databricks-certified data and AI consultancy to help enterprises build the data foundations their AI ambitions require, tackling a gap where Gartner says only 12% of enterprises feel fully ready on data. Lovelytics employs more than 600 people across the US, Canada, Argentina and Colombia and was the first consulting partner ever backed by Databricks Ventures, a pedigree CDW is paying up for as CEO Christine Leahy put it: "there is no AI strategy without a data strategy" – [BusinessWire](https://www.businesswire.com/news/home/20260902424373/en/CDW-to-Acquire-Lovelytics-to-Turn-Customer-Data-into-Business-Value?ref=theinvestorsociety.com).

**GroGlass (US/Latvia, Nasdaq: APOG)** – up to $72.5M, acquisition, Apogee Enterprises agreed to buy the Riga-based maker of anti-reflective glass coatings — the same kind of surface technology used to protect and display art at the Louvre — for its Performance Surfaces division. The cash-free, debt-free deal is expected to add roughly $30M in first-year revenue at a 25% margin, with $10M of the purchase price held back and paid out only if GroGlass hits performance targets over the next three years – [StockTitan](https://www.stocktitan.net/news/APOG/apogee-enterprises-to-acquire-gro-j9fw3zuyizwc.html?ref=theinvestorsociety.com).

Opening Market Figures, Fri 4 Sep, 2026.

**US equity markets (US)** – benchmark index move, the S&P 500 rose 1%, the Dow gained 1.1% and the Nasdaq climbed 1.36% as the 10-year Treasury yield eased to roughly 4.75% after Fed Governor Christopher Waller signaled support for holding rates steady if inflation keeps improving. The rally came despite a widening US trade deficit, which jumped 24.4% in July to $88.6B — the gap's widest point since March 2025 – [TheStreet](https://www.thestreet.com/stock-market-today/stock-market-today-dow-jones-sp-500-nasdaq-updates-sept-03-2026?ref=theinvestorsociety.com).

**Snowflake (US, NYSE: SNOW)** – Q2 earnings beat, the data-cloud company reported $1.55B in quarterly revenue, up 35% year-over-year and well ahead of the $1.48B Wall Street expected, sending shares up more than 22% in extended trading. CEO Sridhar Ramaswamy said the company is "on track to finally break even during the next fiscal year," and the results — alongside 692 net-new customers — pushed back hard against fears that AI coding tools would shrink demand for traditional data platforms – [SiliconANGLE](https://siliconangle.com/2026/09/02/snowflake-knocks-it-out-the-park-with-a-stellar-earnings-and-revenue-beat/?ref=theinvestorsociety.com).

**ChargePoint (US, NYSE: CHPT)** – Q2 earnings beat, shares of the EV-charging network operator surged more than 76% after revenue climbed 17.7% to $116.1M and its adjusted loss narrowed to $4.75M from $22.1M a year earlier. CEO Rick Wilmer touted "zero cash burn" for the quarter, a notable turnaround for a stock that just a few years ago was one of the poster children for EV-infrastructure hype outrunning fundamentals – [StockStory](https://stockstory.org/us/stocks/nyse/chpt/news/why-up-down/why-is-chargepoint-chpt-stock-soaring-today?ref=theinvestorsociety.com).
