Hi, and welcome to a new edition of [The Daily Dealflow](https://www.theinvestorsociety.com/tag/the-daily-dealflow/) — the 5-minute briefing that gives you clear context on capital flows and market-moving trends across the Americas, from Silicon Valley to Buenos Aires. Let's dive in.

## 🏆 Deal of the Day

May Mobility struck a $1.4B SPAC merger with ACP Holdings Acquisition Corp. that will make it the first company focused solely on autonomous ride-hailing to trade on a U.S. exchange — a distinction that matters because none of its highest-profile rivals are actually investable on their own: Waymo sits inside Alphabet, Zoox inside Amazon, and Tesla's robotaxi bet is buried inside a car company's balance sheet – [PR Newswire](https://www.prnewswire.com/news-releases/may-mobility-to-become-the-first-us-publicly-listed-pure-play-autonomous-ride-hail-technology-company-through-a-business-combination-with-acp-holdings-acquisition-corp-302879907.html?ref=theinvestorsociety.com).

**Why This?:** For the first time, public-market investors in the U.S. get a standalone stock to bet directly on autonomous ride-hailing rather than a small line item buried inside a tech giant or automaker — a "price discovery" moment for the whole sector that investors across the Americas will be watching closely for a read on how the market really values this technology.

**Positive Context:**

- The deal brings up to $337M in gross proceeds (as much as $217M from ACP's trust account plus a $120M PIPE) to fund R&D and new deployments, and May is the only autonomous-vehicle company partnered with four major ride-hailing platforms at once — Uber, Lyft, Grab, and China's CaoCao — an asset-light, "supply the software, let others own the cars" model that keeps its capital needs lower than rivals building their own fleets.
- May already has an Uber-powered commercial launch planned for Arlington, Texas in early 2027 and a first international trial underway in Japan with NTT as exclusive operator, giving it a real path to scale beyond its current three U.S. markets.

**Yes, but:**

- May's scale still lags dramatically behind Waymo, which completes more paid rides in a single week (500,000-plus) than May has completed in its entire nine-year history (550,000-plus) — "first public pure-play" is a meaningful distinction, but it's also a reminder that being first to the stock market isn't the same as being first in the market.
- The company burned roughly $93M against just $10M of revenue in 2025, and like most SPAC deals, the actual cash it ends up with depends heavily on how many ACP shareholders redeem their shares instead of rolling into May Mobility stock.

**Zoom in:** "Pure-play" here means something specific and rare in this sector: unlike Tesla (a carmaker), Alphabet's Waymo, or Amazon's Zoox — where autonomous driving is one bet inside a much larger, diversified company — May Mobility will be the only stock on a U.S. exchange whose entire business is autonomous ride-hailing, so its share price becomes a direct, unfiltered read on investor appetite for the technology itself, rather than one diluted by cloud computing, e-commerce, or car sales.

> **The comment:** ***"We started May Mobility because getting around a city shouldn't cost people their time, their safety or their freedom,"*** said Edwin Olson, May Mobility's CEO and founder – [TechCrunch](https://techcrunch.com/2026/09/16/may-mobility-is-going-public-in-a-1-4b-spac-deal/?ref=theinvestorsociety.com).

**Nex Playground (US)** – $150M, Series E (roughly half debt, half equity), a home gaming console that turns any TV into a motion-controlled arcade using just a built-in camera — no handheld controller required — in a round led by Baillie Gifford and BAI Capital, with NBA Investments, Logitech, and Raine Group also joining alongside a new credit facility from JPMorgan. Led by CEO David Lee, the company has sold over a million units and turned profitable last year, and just added Niantic's former CFO Jeff Shouger and Kleiner Perkins veteran Bing Gordon to its board — proof that "active play" is more than a pandemic-era fad – [GamesBeat](https://gamesbeat.com/nex-raises-150m-in-debt-and-equity-to-take-nex-playground-to-global-market-exclusive-interviews/?ref=theinvestorsociety.com).

**A5X (Brazil)** – $70M, Series D, upstart derivatives exchange gunning to end B3's decades-long monopoly on Brazilian futures and options trading, in a round that pushed its valuation to $525M and brought in Wall Street heavyweights Goldman Sachs and Morgan Stanley as new investors alongside Kaszek and market-making giants like Jump Trading and Optiver. Founded by CEO Carlos Ferreira Filho with Karel Luketic, Nilson Monteiro, and Julian Chediak, A5X plans to build its own clearinghouse using London Stock Exchange Group technology and is targeting a Q2 2027 launch — a derivatives business that alone generates roughly a third of B3's revenue – [LatamRepublic](https://www.latamrepublic.com/brazilian-startup-a5x-raises-us-70-million-in-series-d-at-us-525-million-valuation/?ref=theinvestorsociety.com).

**MIND (US)** – US$72M, Series B, AI-native data loss prevention platform that classifies and blocks sensitive information across SaaS, email, endpoints and generative AI tools, led by Crosspoint Capital with YL Ventures and Paladin. Run by Eran Barak, it grew revenue more than 17-fold in a year – [The Investor Society.](https://www.theinvestorsociety.com/mind-raises-us-72m-to-rebuild-data-loss-prevention-for-the-ai-era/)

**AVAVA (US)** – $45M, growth financing ($30M equity plus a $15M debt facility), Boston-based medical-aesthetics company whose patented Focal Point Technology precisely delivers energy to the skin to treat everything from wrinkles to pigmentation without damaging surrounding tissue. Led by CEO Clint Carnell and co-founded by dermatology pioneer Dr. R. Rox Anderson, the round was led by Catalio Capital Management — the same investor that wrote AVAVA's very first institutional check — to fund international expansion and its next-generation laser platform – [GlobeNewswire](https://www.globenewswire.com/news-release/2026/09/17/3364350/0/en/avava-announces-45-million-financing-led-by-catalio-capital-management-to-accelerate-next-phase-of-growth.html?ref=theinvestorsociety.com).

**Viabot (US)** – $24M, Series A, autonomous three-wheeled robot that sweeps parking lots and commercial properties clean of debris — and, as a side hustle, doubles as a security camera on wheels that flags loitering. Founded by CEO Gregg Ratanaphanyarat and CTO Dawei Ding, the round was led by Walden International and brings the Santa Clara company's total funding to $43M; the Viabot One already tends 25 million square feet of property across eight states, running on nothing more than a standard wall outlet – [The Investor Society.](https://www.theinvestorsociety.com/viabot-raises-us-24m-to-put-sweeping-robots-on-commercial-property/)

While the debate surrounding possible consequences of the rapid development of AI has recently taken a dramatic turn – with several AI leaders and industry insiders pointing out the risk of extinction-level catastrophe – ordinary people are still preoccupied with more mundane AI concerns such as job losses. According to an international survey carried out by the Pew Research Center this year, people in 34 of 37 countries surveyed are more likely to believe that AI will result in fewer rather than more jobs over the next two decades. These concerns are particularly widespread in high-income countries, with more than 7 in 10 respondents expecting AI-related job losses in countries like Australia, South Korea and the United States. Interestingly, there appears to be a correlation between AI awareness and concerns. In around half the country surveyed, people who said that they heard or read a lot about AI were more likely to expect AI-related job losses. ****Source: Pew Research Center, Statista.**

## 🏛️ Private Equity

**Rexford Industrial (US)** – $1.2B, non-core asset sale, the industrial-property giant sold a 5.2-million-square-foot portfolio of Southern California logistics buildings to EQT Real Estate at a projected 5.5% yield, part of a broader $1.5B-to-$2B disposition plan to shed slower-growth warehouses and pay down 2027 debt. It's a sign institutional money still can't get enough of infill logistics real estate near major ports, even as the seller itself is trimming exposure to focus on higher-growth properties – [Yahoo Finance](https://finance.yahoo.com/real-estate/articles/rexford-industrial-offloads-1-2b-042415856.html?ref=theinvestorsociety.com).

**Unico (Brazil)** – undisclosed value, acquisition, the $2.6B Brazilian digital-identity unicorn bought Argentine biometric-verification firm Valida to plant its flag in a market where fraud attacks reportedly jumped 1,000% last year. Unico will open a regional developer hub in Argentina and inherit Valida's existing relationships with local banks — the kind of trust that's much cheaper to buy than to build from scratch – [El Cronista](https://www.cronista.com/economia-politica/un-unicornio-de-us-2600-millones-desembarca-en-argentina-y-apuesta-al-negocio-que-dispara-la-ia/?ref=theinvestorsociety.com).

**BNCCORP (US)** – $130M-plus, cash-and-stock merger, shareholders of the Arizona-based community bank approved a buyout by OppFi that pays $19.375 per share in cash plus 1.9 OppFi shares for each BNCCORP share held, marrying a century-old bank charter with a Nasdaq-listed online lender. Chairman Michael Vekich called it a "transformative agreement" pairing OppFi's digital-lending platform with BNC National Bank's regulatory infrastructure — essentially letting a fintech buy the banking license it would otherwise spend years trying to obtain – [PR Newswire](http://www.prnewswire.com/news-releases/bnccorp-stockholders-approve-merger-with-oppfi-inc-302881966.html?ref=theinvestorsociety.com).

**GDT (US)** – $1.05B, private equity exit, HIG Capital sold the Dallas-based enterprise IT and cybersecurity provider to UK reseller Softcat, marking one of the year's larger sponsor-to-strategic handoffs in tech services. The deal hands Softcat a foothold in the U.S. enterprise networking and hybrid-cloud market it has been trying to crack for years – [PE Hub](https://www.pehub.com/hig-capital-sells-it-solutions-provider-gdt-to-softcat-for-1-05bn/?ref=theinvestorsociety.com).

**Element Home Services (US)** – undisclosed value, acquisition, the Mountain West HVAC, plumbing, and electrical outfit was scooped up by roll-up platform T3 Services Group, adding four branches across Wyoming, Colorado, Utah, and Arizona to T3's growing network of home-services partner companies. Co-founders Jon Graham and Jaimie Graham get to keep running the business under its own brand — the private-equity version of "keep the name, change the plumbing," financially speaking – [PR Newswire](https://www.prnewswire.com/news-releases/t3-services-group-is-in-its-element-with-mountain-west-expansion-302882576.html?ref=theinvestorsociety.com).

**US capital markets (US)** – regulatory shift, the SEC issued a first-of-its-kind "Innovation Exemption" letting approved trading venues offer blockchain-based versions of U.S. stocks for the next five years, requiring tokenized shares to carry identical rights to the real thing. SEC Chair Paul Atkins called it a bridge "to resolve challenges that have prevented responsible innovation from taking root in the United States," a notable regulatory olive branch days after the Senate blocked a broader crypto bill, market-structure/digital-assets industry – [UPI](https://www.upi.com/Top%5FNews/US/2026/09/17/sec-innovation-exemption-tokenized-stocks/8111789659660?ref=theinvestorsociety.com).

**Moderna (US, Nasdaq: MRNA)** – stock surge, shares climbed another 6% after Merck-partnered data showed its personalized cancer vaccine cut the risk of melanoma recurrence or death by 49% versus Keytruda alone, extending a rally now up 137% in a single month. Notably, rival BioNTech's competing mRNA cancer vaccine barely budged on the news — a sign investors are betting on this specific therapy, not the whole category, biotech industry – [24/7 Wall St](https://247wallst.com/investing/2026/09/17/moderna-climbs-6-as-cancer-vaccine-trade-extends-a-137-month-biontech-and-novavax-edge-higher/?ref=theinvestorsociety.com).

**Bitcoin (US)** – crypto market move, the largest cryptocurrency ticked up to roughly $76,200 — a modest daily gain but part of a 21% rebound over the past month — even as it remains about 35% below the $116,486 all-time high it hit last October, with its $1.33 trillion market cap still nearly six times Ethereum's, digital-assets industry – [Fortune](https://fortune.com/article/price-of-bitcoin-09-17-2026/?ref=theinvestorsociety.com).
