Hi, and welcome to a new edition of [The Daily Dealflow](https://www.theinvestorsociety.com/tag/the-daily-dealflow/) — the 5-minute briefing that gives you clear context on capital flows and market-moving trends across the Americas, from Silicon Valley to Buenos Aires. Let's dive in.

## 🏆 Deal of the Day

Bumble, the Austin dating app, agreed to go private in an all-cash deal worth about $1.3B, or $6.05 per share. The buyer is Ithaca Holdings, a new firm co-founded by Sequoia Capital partner Ravi Gupta and former Meta executive John Hegeman, who become Bumble's co-CEOs at closing. Founder Whitney Wolfe Herd stays involved – [Yahoo Finance](https://finance.yahoo.com/markets/stocks/articles/bumble-private-1-3-billion-123448331.html?ref=theinvestorsociety.com).

**Positive Context:**

- The $6.05 offer is a 138% premium to Bumble's close on the last trading day before the deal was reported, and shares jumped as much as 57% on the news, after a 50% gain on Monday that was the best single day since the 2021 IPO.
- Approval looks easy: affiliates of Blackstone and Wolfe Herd signed written consents, and an independent special committee recommended the sale.

**Yes, but:**

- A company that was valued at about $14B at its 2021 IPO is now changing hands for roughly a tenth of that.
- Last quarter Bumble's paying users fell 16.4% to 3.2 million and revenue dropped 15% to $211M, while [Hinge](https://hinge.co/?ref=theinvestorsociety.com) grew revenue 22% – [Brew Markets](https://www.brewmarkets.com/stories/bumble-is-off-the-market?ref=theinvestorsociety.com).

**Zoom in:** Ithaca Holdings was founded earlier this year with a stated plan to buy at least one public or private company and add new technology, potentially including AI, and Bumble is the deal it just announced.
