Hi, and welcome to a new edition of The Daily Dealflow — the 5-minute briefing that gives you clear context on capital flows and market-moving trends across the Americas, from Silicon Valley to Buenos Aires. Let's dive in.

🏆 Deal of the Week

Getty Images, a name you have probably seen in the corner of a news photo, is heading into a prepackaged Chapter 11 that will take it private. Members of the Getty family and Koch Equity Development (KED), committed up to $533M in new equity and will own the whole company.

The math hurts: In December 2021, Getty agreed to return to the NYSE through a $4.8B SPAC deal with CC Capital and Neuberger Berman. This September, the NYSE suspended the stock at 12 cents and sent it to the over-the-counter market. On the Friday before the deal, the entire company was worth $20.74M. Now up to $533M buys all of it, plus about $2.1B of debt to rework.

From London to 477M images: Mark Getty and Jonathan Klein started the company in London in 1995. A year later they bought the Hulton Press Library, about 15M British press photos, some from the 1800s. iStockphoto followed in 2006 for $50M. Then private equity passed it around: Hellman & Friedman paid about $2.4B in 2008, and Carlyle paid $3.3B in 2012. The library now holds more than 477M assets.

What went wrong: First debt, then AI. A $3.7B merger with Shutterstock, announced in January 2025, was supposed to fix the balance sheet. UK regulators wanted Shutterstock's editorial business sold first. Getty said no and walked away on July 7. In the second quarter, active annual subscribers fell 25.2% to 240,000. CEO Craig Peters has pointed to ad agencies making more images in-house, partly with AI, and to AI search summaries sending fewer clicks to iStock. Editorial revenue rose 9.2% in the same quarter. AI can whip up a generic office handshake, but it wasn't at last night's game.

The plan: Less debt, no quarterly calls, and more weight on news, editorial and archive work, the part of the business Getty refused to sell to save the Shutterstock deal. On AI, Getty wants a cut. It runs a commercially safe image generator trained on its own library. In August it launched an MCP server so AI agents can find and license its content. The restructuring should wrap up by the end of 2026.

Why This?: One of the best-known brands in visual media went from a $4.8B SPAC deal to bankruptcy court in under five years. For founders and investors across the Americas, it is a live case study of what AI hurts (generic content) and what still holds value (proprietary archives and coverage of real events).

Positive Context:

  • The balance sheet gets a reset. $270M of unsecured notes are retired, secured lenders accept longer maturities and lower interest, and KED provides about $143M of debtor-in-possession financing.
  • There is still a real business underneath: record 2025 revenue of $981.3M.

Yes, but:

  • A court still has to approve the plan. The agreement reportedly doesn't mention contributor royalties, so photographers owed money could end up as unsecured creditors.
  • The failed Shutterstock merger cost more than $100M in fees and financing. Once private, Getty stops publishing its financials.
