Hi, and welcome to a new edition of The Daily Dealflow β€” the 5-minute briefing that gives you clear context on capital flows and market-moving trends across the Americas, from Silicon Valley to Buenos Aires. Let's dive in.

πŸ† Deal of the Day

ON Semiconductor (Onsemi) amended its agreement to buy Synaptics, replacing the $7B all-stock deal announced in June 2026 with an all-cash offer of $123 per share, valued at about $5.7B. Synaptics shares jumped about 14% on the news, and ON stock rose as well – 24/7 Wall St.

Why This?: This deal shows how a buyer can lower the sticker price while handing the seller something sturdier: a fixed cash payout. For U.S. tech founders and investors, it is a live lesson in deal structure under volatile stock prices.

Positive Context:

  • Onsemi expects "immediate adjusted EPS accretion" after closing and sees value beyond the previously announced $200M in annual synergies.
  • The U.S. FTC has already approved the deal.

Yes, but:

  • The headline value fell by about $1.3B, and the deal still needs Synaptics shareholder approval and other regulatory clearances before a mid-2027 close.
  • Onsemi now leans on committed debt financing from Morgan Stanley plus cash on hand.

Zoom in: The revised deal carries no financing condition, so the cash offer does not depend on Onsemi lining up money after signing.

The cash deal "delivers higher value to our shareholders through lower total cost consideration," said Onsemi CEO Hassane El-Khoury.
