  • Santander already owns ~90% of its Brazilian unit, which contributes a large share of group profit while Brazil's Selic rate near 14.25% keeps net interest margins wide.
  • Citi noted in February that the parent had ample capital and liquidity to absorb the minority stake without straining its balance sheet.

Yes, but:

  • The 15% premium sits five points below the 20% Santander offered in its 2014 partial buyback, drawing grumbling from some Brazilian retail holders.
  • The all-stock structure dilutes existing Santander shareholders, issuing about 156 million new shares — roughly 1.1% of current capital.

Zoom in: Santander Brasil's locally listed units (SANB11) jumped as much as 13.9% on the news — their sharpest one-day move in more than six years.
